These Terms and Conditions ("Terms") govern your access to and use of:
The Website and Services are operated by SAM Labs Inc. ("SAM Labs," "we," "us," or "our").
By accessing or using the Website, or by creating an account on or using the Services, you agree to these Terms. If you use the Services on behalf of a school, district, or other organization, you confirm that you are authorized to accept these Terms for that organization, and "you" includes that organization. If you do not agree, please do not use the Website or Services.
Sections 11–19 apply only to the Services. All other sections apply to everyone.
SAM Labs grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Website for lawful informational, educational, and business purposes, and to use the Services as described in Section 11.
You agree not to use the Website or Services in any way that:
We may suspend, restrict, or terminate access if we believe these Terms have been violated.
Website content is provided for general informational and marketing purposes. It may describe SAM Labs products, services, educational solutions, features, case studies, resources, and other materials.
We make reasonable efforts to keep the Website accurate and up to date, but we do not guarantee that all content is complete, current, error-free, or suitable for your specific needs. We may update, modify, remove, or discontinue any part of the Website at any time without notice.
Information on the Website does not create a binding offer to sell products or services. Any purchase, subscription, license, implementation, professional development, support, or other commercial arrangement with SAM Labs may be subject to a separate quote, order form, agreement, statement of work, school or district contract, data privacy or data processing agreement, reseller agreement, or other written terms (a "Separate Agreement").
If there is a conflict between these Terms and a Separate Agreement signed or accepted by SAM Labs, the Separate Agreement controls for the applicable products or services.
The Website and Services, and their content, including text, graphics, logos, icons, images, videos, software, lessons, product names, trademarks, designs, downloads, and other materials, are owned by SAM Labs or its licensors and are protected by intellectual property and other laws. Except for the rights expressly granted in these Terms, SAM Labs keeps all rights.
You may view and use Website content for your internal informational, educational, or evaluation purposes. You may not copy, reproduce, distribute, modify, publicly display, sell, license, or create derivative works from Website or Services content without prior written permission from SAM Labs, except as allowed by applicable law or a Separate Agreement.
The SAM Labs name, logo, product names, and related marks are trademarks or trade names of SAM Labs. You may not use them without our prior written permission.
Our Privacy Policy and Child Privacy Policy explain how we collect, use, share, and protect personal information, including student information in the Services. Please review them before submitting personal information.
The Website is intended for educators, school administrators, parents, guardians, partners, and other adults. Children should not submit personal information through the Website unless authorized by a parent, guardian, teacher, school, or other appropriate adult.
Students may use the Services only through accounts or classes set up by a teacher, school, or district, and only for educational purposes under that school's direction.
The Website and Services may contain links to, or integrations with, third-party websites, tools, platforms, or services, such as rostering and single sign-on providers. SAM Labs does not control and is not responsible for third-party content, policies, availability, security, or practices. Your use of third-party services is subject to their own terms and policies.
The Website and Services are provided on an "as is" and "as available" basis, except as otherwise stated in a Separate Agreement.
To the fullest extent permitted by law, SAM Labs disclaims all warranties, express or implied, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Website or Services will be uninterrupted, secure, error-free, or free from harmful components, or that they will achieve any particular educational result.
To the fullest extent permitted by law, SAM Labs and its officers, directors, employees, agents, affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the Website, the Services, or these Terms.
To the fullest extent permitted by law, SAM Labs' total liability for any claim arising out of or related to the Website, the Services, or these Terms will not exceed the greater of (a) the amounts you paid to SAM Labs for the applicable Services in the 12 months before the claim, or (b) one hundred U.S. dollars (US $100).
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SAM Labs and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Website or Services, your violation of these Terms or applicable law, your infringement of any rights of SAM Labs or a third party, or any content you submit or upload.
Subject to these Terms and any Separate Agreement, SAM Labs grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during your subscription or authorized access period, for educational purposes within your school, district, or organization.
Some features may require a paid subscription, a license, or SAM Labs hardware. Fees, subscription terms, and renewals are set out in the applicable quote, order form, or Separate Agreement. We may offer free, trial, or pilot access, which we may change or end at any time.
SAM Labs hardware is covered by the warranty and return terms provided with the product or in the applicable Separate Agreement.
Accounts for SAM Studio, FRST, and SAM Code may be created only by teachers, school staff, or other authorized adults, or by a school or district through approved rostering or single sign-on methods. You must be at least 18 years old to create an educator or administrator account.
You are responsible for:
When a school, district, or educator uses the Services with students, the school or district controls the student information entered into the Services, and SAM Labs processes it on the school's behalf as described in our Privacy Policy, Child Privacy Policy, and any Separate Agreement.
The school, district, or educator is responsible for:
"Your Content" means projects, code, observations, notes, scores, audio, images, files, and other content that you or your students create, enter, or upload in the Services.
You, your school, or your students (as applicable) keep ownership of Your Content. You grant SAM Labs a limited, non-exclusive, worldwide license to host, store, copy, process, and display Your Content only as needed to provide, support, secure, and improve the Services, and as described in our Privacy Policy and any Separate Agreement.
You are responsible for Your Content and confirm that you have the rights and permissions needed to upload it, including any consent or authorization required for images or audio of students or other people. We may remove content that violates these Terms or applicable law. A school or district may ask us to remove specific content at any time, and we will do so without undue delay once the request is verified.
FRST and other SAM Labs reporting features help educators record, organize, and review evidence of student learning. Scores, reports, and analytics are based on information entered by educators and on activity in the Services. They are meant to support, not replace, the professional judgment of educators, and should not be used as the sole basis for decisions about a student.
SAM Code is based on Scratch, open-source software developed by the Scratch Foundation. SAM Code is not affiliated with, sponsored by, or endorsed by the Scratch Foundation or the Massachusetts Institute of Technology. Scratch is a trademark of the Scratch Foundation.
The Services may include open-source components. These components are subject to their own license terms, which apply in place of these Terms where required by those licenses.
We may update, improve, or change the Services from time to time, including adding or removing features. If we make a change that significantly reduces the functionality of a paid Service during a subscription term, we will give reasonable notice, and any remedies will be as set out in the applicable Separate Agreement.
We may suspend or terminate access to the Services if you violate these Terms, if your subscription or Separate Agreement ends, if required by law, or if needed to protect the Services, users, or students. Where reasonable, we will give notice first.
You may stop using the Services at any time. Ending your use does not entitle you to a refund unless stated in a Separate Agreement or required by law.
After termination, we will delete or de-identify Your Content and student information as described in our Privacy Policy, Child Privacy Policy, and any Separate Agreement. Schools that need a copy of their data should request it before their access ends.
If you send us ideas, suggestions, or other feedback about the Website or Services, we may use it without restriction or obligation to you. Feedback does not include Your Content or student information.
SAM Labs may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. If changes are material, we will provide additional notice to account holders, such as by email or in the Services. Your continued use of the Website or Services after changes take effect means you accept the updated Terms.
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles, unless a Separate Agreement says otherwise.
To the extent permitted by law, any dispute arising out of or relating to these Terms, the Website, or the Services will be brought in the state or federal courts located in Texas, and you consent to the jurisdiction of those courts.
If you are a consumer, this section does not remove any mandatory protections you have under the laws of the country where you live.
If you believe content on the Website or in the Services infringes your copyright, send a notice to info@samlabs.com that identifies the copyrighted work, the content you believe infringes it and where it is located, your contact details, a statement that you have a good-faith belief the use is not authorized, and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner. We may remove the content and, in appropriate cases, close the accounts of repeat infringers.
These Terms, together with our Privacy Policy, Child Privacy Policy, and any Separate Agreement, are the entire agreement between you and SAM Labs about the Website and Services. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce any part of these Terms is not a waiver. You may not transfer these Terms without our written consent; we may transfer them in connection with a merger, acquisition, or sale of assets. We are not responsible for delays or failures caused by events beyond our reasonable control. Sections that by their nature should continue after termination, including Sections 4, 8, 9, 10, 14, 21, and 23, will continue to apply.
